Client-Centric Enterprise Service Principles
Quinovaz delivers high-velocity software engineering, autonomous AI systems, and interactive 3D web applications. Our commercial terms are structured to give clients complete peace of mind, full intellectual property ownership, and predictable milestone delivery.
1Acceptance of Terms
By accessing our website, executing a Statement of Work (SOW), or engaging with Quinovaz Technologies Pvt. Ltd. ("Quinovaz") for engineering services, you agree to be bound by these Terms of Service. If you are entering into this agreement on behalf of a company, you represent that you have the authority to bind that entity.
2Services & Statements of Work
Quinovaz provides software engineering, product architecture, AI copilot engineering, interactive WebGL/3D graphics, DataLE Labs analytics platforms, and Medha LMS solutions. Specific deliverables, timelines, pricing, and service level agreements (SLAs) are defined in mutually agreed Statements of Work (SOW).
3Intellectual Property Rights & Code Ownership
Work Product Ownership: Upon receipt of full payment for completed milestones, all custom software, source code, UI/UX designs, shaders, and documentation developed exclusively for the client shall become the sole and exclusive property of the client.
Pre-Existing IP: Quinovaz retains ownership of its pre-existing foundational libraries, generic algorithms, and open-source tooling. Clients receive a perpetual, irrevocable, worldwide, royalty-free license to use any pre-existing components incorporated into their final deliverables.
4Confidentiality & Non-Disclosure
Each party agrees to hold the other party's proprietary information in strict confidence. Confidential information includes, without limitation, business plans, software architectures, algorithms, customer data, and technical specifications. Neither party shall disclose such information to any third party without prior written consent.
5Warranties & Quality Assurance
Quinovaz warrants that all engineering services shall be performed in a professional and workmanlike manner consistent with modern industry standards. Custom code includes a standard 30-day post-deployment warranty period to address defects or non-conformities relative to the accepted SOW specifications.
6Limitation of Liability
Except in cases of gross negligence, intentional misconduct, or breach of confidentiality, neither party shall be liable for indirect, incidental, special, or consequential damages. The total aggregate liability of Quinovaz under any agreement shall not exceed the total fees paid by the client under the specific SOW in the preceding 6-month period.
7Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts in Mangaluru, Karnataka, India.
